Please join us for the second of our three 2019 iNED Workshops. “Without Question” A practical exercise for NEDs developed by ICAEW (Institute of Chartered Accountants in England and Wales)

This 4-hour interactive session (including a 30-minute break) will help NEDs understand the challenges a board may face when a change of ownership or control is contemplated in, for example, an IPO situation.


Format: ICAEW commissioned the production of a scenario-based training video entitled “Without Question”. This was viewed by members of the iNED Committee who recommended that it form the basis of a workshop to consider the potential for D&O exposure. DWF kindly agreed to act as host and to provide members of its staff to act as moderators and panellists as required. The story concerns the IPO of “Rapston” a fictional company. As the situation develops, participants are invited to consider the implications for directors and suggest appropriate responses. The story comprises several logical segments, each dealing with an element of the unfolding scenario. Participants will watch a segment of the video and then discuss their reaction to what they have seen with their table companions The appointed table moderator will help keep the discussion focused on the key issues raised and note key issues and learnings. After the discussion around the final segment, DWF will attempt to summarise the overall conclusions of the exercise and draw out the key takeaways for participants.

Outline learning objectives: 

• Identify areas of risk for directors, in particular, non-executive directors, when a board is faced with a change of ownership or control.

• Identify how NEDs can and should deal with forceful executives and dominant personalities.

• Identify areas of potential exposure to D&O claims

• Consider the role of NEDs in providing effective challenge at board level, particularly in stressed circumstances.
